1. Use License

• The Company grants you a limited, non-exclusive, non-transferable license to use our AI-powered services for your business use, in accordance with these Terms & Conditions.
• You agree not to reverse engineer, decompile, or attempt to derive the underlying technologies or models.
• All services are provided “as is” and are subject to availability.
• We reserve the right to modify, suspend, or discontinue any service at any time with or without notice.

2. Intellectual Property Rights

• Unless otherwise stated, the Company retains all intellectual property rights in the platform, AI models, and underlying technologies.
• Your use of the service does not grant you any rights to our IP.
• Documents and outputs generated by our AI agents are provided for your use.
• You retain rights to customisations and data you provide as input.
• You grant the Company a license to use anonymised usage data to improve our services.
• You warrant that any content you provide as input does not infringe third-party intellectual property rights.

3. AI Services and Limitations

• Our AI agents are designed to produce documents, information summaries, and structured outputs based on your inputs and specifications.
• While we aim for accuracy, AI-generated content may contain errors, inconsistencies, or omissions.
• You acknowledge that AI-generated outputs are tools to assist decision-making and should be reviewed, verified, and edited before use, particularly for regulated contexts.
• We do not warrant that our services will meet all your requirements or that output will be error-free.
• Data you provide to our services may be processed in accordance with applicable data protection laws and our Privacy Policy.
• You represent that you have obtained all necessary consents to share such data with us.

4. Responsibilities

You agree to use the service only for lawful purposes and in compliance with all applicable laws and regulations. You will not use the service to:

• Generate content that is illegal, defamatory, or infringes intellectual property rights;
• Attempt to disrupt, overload, or interfere with the service infrastructure;
• Scrape, crawl, or extract data in violation of our usage policies;
• Use the service to develop competing AI models or services without authorisation.

5. Payment and Fees

• Where applicable, fees for services, payment terms, invoicing and billing practices will be stated in your Service Agreement.
• You are responsible for all taxes applicable to your use of the service.

6. Limitation of Liability

• To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.
• Our total liability for any claim arising from these Terms shall not exceed the fees paid by you.

7. Warranties and Disclaimers

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
• We do not warrant that the service will be uninterrupted, error-free, secure, or free from viruses or malicious code.
• We are not liable for any corruption, loss, or alteration of data.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, losses, damages, and costs (including reasonable attorneys' fees) arising from:

• Your use of the service in violation of these Terms;
• Your violation of any law or third-party rights;
• Any content you provide or generate using the service;
• Your breach of these Terms & Conditions.

9. Termination, Cancellation & Refunds

• The terms governing termination, cancellation, refunds notice periods, and post-termination obligations shall be as set out in the Service Agreement. In the event of any inconsistency between these Terms and Conditions and the Service Agreement, the Service Agreement shall prevail.
• In the absence of a Service Agreement, we may suspend or terminate your access to the service at any time for violation of these Terms, non-compliance with applicable laws, or engagement in fraudulent or harmful activity, with or without notice.
• Upon termination, your right to use the service ends immediately and you remain liable for all obligations accrued prior to termination.

10. Governing Law and Dispute Resolution

• These Terms & Conditions are governed by and construed in accordance with the laws of Singapore, or as otherwise specified in your Service Agreement.
• If a different jurisdiction is specified in your Service Agreement, the governing law and jurisdiction of that agreement shall control.
• Any dispute arising from these Terms shall be subject to the dispute resolution procedures outlined in your Service Agreement, if applicable.
• In the absence of a Service Agreement, disputes shall be resolved through binding arbitration or court proceedings in Singapore, as permitted by law.

11. Changes to Terms

• The Company reserves the right to modify these Terms & Conditions at any time.
• Changes are effective upon posting to our website with a revised effective date.
• Your continued use of the service constitutes acceptance of the updated Terms.
• We will notify you of material changes via email or prominent notice on our site.

12. Severability

• If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable by a court or tribunal of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable.
• If such modification is not possible, the relevant provision shall be deemed deleted.
• The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
